OVERVIEW

Welcome to Keptwild. The terms “we,” “us,” and “our” refer to Washerbear, LLC, a Florida limited liability company, doing business as Keptwild (“Keptwild”). We operate this website and store, including all related information, content, features, tools, products, and services (collectively, the “Services”) to provide you with a curated shopping experience. Keptwild is powered by Shopify Inc. (“Shopify”), which enables us to provide the Services to you.

These Terms of Service (“Terms”) govern your access to and use of the Services, including browsing and purchasing products. These Terms incorporate by reference any policies referenced in these Terms, including our Privacy Policy and Refund Policy.

Please read these Terms carefully. They include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms and our Privacy Policy at /policies/privacy-policy. If you do not agree, do not use or access the Services.

SECTION 1 — ACCESS AND ACCOUNT

By using the Services, you represent that you are at least the age of majority in your state of residence. If you allow a minor to use the Services on devices you own or manage, you are responsible for that minor’s activity.

To use certain Services, including purchasing products, you may be asked to provide information such as your name, email address, billing address, payment information, shipping information, and phone number. You represent and warrant that all information you provide is accurate, current, complete, and that you have the right to provide it.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You may not transfer, sell, assign, or license your account to another person.

SECTION 2 — OUR PRODUCTS

We strive to display product information accurately. However, product colors and appearance may vary due to device type, display settings, lighting, and other factors.

We do not warrant that the appearance or quality of products will meet your expectations or match exactly what is displayed. All product descriptions and specifications are subject to change at any time without notice, in our sole discretion. We reserve the right to discontinue products at any time and to limit quantities offered to any person, geographic region, or jurisdiction.

SECTION 3 — ORDERS

When you place an order, you are making an offer to purchase products from us. We reserve the right to accept or decline an order for any reason in our discretion. An order is not accepted until we confirm acceptance (for example, by sending an order confirmation/acceptance notice). We must receive and process payment before an order is accepted.

Please review your order carefully before submitting. Once an order is accepted, we may be unable to accommodate cancellation requests. If we decline, change, or cancel an order, we will attempt to notify you using the email, billing address, and/or phone number provided at checkout.

Returns, exchanges, and refunds are governed solely by our Refund Policy at /policies/refund-policy.

You represent and warrant that purchases are for personal or household use and not for commercial resale or export.

SECTION 4 — PRICES AND BILLING

Prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect when the order is placed and shown in your order confirmation. Unless expressly stated, posted prices do not include taxes, shipping, handling, customs, or import charges.

Prices in our online store may differ from prices in physical stores or other third-party marketplaces. Promotional offers may be governed by separate terms; if there is a conflict, the promotional terms will control.

You agree to provide current, complete, and accurate purchase and account information. You agree to promptly update your information so we can complete transactions and contact you as needed.

You represent and warrant that: (i) payment information you provide is accurate and complete, (ii) you are authorized to use the payment method, (iii) charges will be honored by your payment provider, and (iv) you will pay all charges at posted prices, including applicable shipping and taxes.

SECTION 5 — SHIPPING AND DELIVERY

We are not liable for shipping or delivery delays. Delivery estimates are not guarantees. We are not responsible for delays caused by carriers, customs processing, or events outside our control.

Once we transfer products to the carrier, title and risk of loss pass to you.

U.S. only: Our store is intended for customers located in the United States, and we currently sell and ship within the United States only.

SECTION 6 — INTELLECTUAL PROPERTY

The Services and all content included on or made available through the Services—such as trademarks, logos, product names, text, graphics, images, video, and audio, and the design, selection, and arrangement thereof—are owned by Washerbear, LLC (d/b/a Keptwild) or its licensors and are protected by U.S. and international intellectual property laws.

These Terms permit you to use the Services for personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works, publicly display, publicly perform, republish, download, store, or transmit any material from the Services without our prior written consent, except as expressly permitted by law.

“Keptwild” and related names, logos, product and service names, designs, and slogans are trademarks of Washerbear, LLC (d/b/a Keptwild) or its licensors. Shopify’s name and related marks are trademarks of Shopify. All other marks are the property of their respective owners.

SECTION 7 — OPTIONAL TOOLS

We may provide access to third-party tools we do not monitor and do not control. You acknowledge and agree that we provide access to such tools “as is” and “as available,” without warranties, representations, or conditions of any kind and without endorsement.

We shall have no liability arising from or relating to your use of optional third-party tools. Any use of such tools is at your sole risk and discretion, and you should review the third party’s terms.

We may offer new features through the Services in the future; such features are part of the Services and subject to these Terms.

SECTION 8 — THIRD-PARTY LINKS

The Services may contain links to third-party websites or functionality. We are not responsible for evaluating the content, accuracy, or practices of third-party sites. If you access third-party sites, you do so at your own risk.

We are not liable for harm or damages related to your access of third-party websites or your purchase or use of third-party products or services. Complaints or questions regarding third-party products or services should be directed to the relevant third party.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

Keptwild is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Washerbear, LLC (d/b/a Keptwild). By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Washerbear, LLC (d/b/a Keptwild), including any injury, damage, or loss resulting from purchased products. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Washerbear, LLC (d/b/a Keptwild).

SECTION 10 — PRIVACY POLICY

All personal information we collect through the Services is subject to our Privacy Policy at /policies/privacy-policy. Certain personal information may also be subject to Shopify’s Privacy Policy.

Because the Services are hosted by Shopify, Shopify may collect and process personal information about your access to and use of the Services in order to provide and improve the Services. Information you submit may be transmitted to and shared with Shopify and service providers, some of which may be located in other countries, to provide services to you. Please review our Privacy Policy for details.

SECTION 11 — TEXT MESSAGING (SMS/MMS)

We may offer you the option to receive text messages (SMS/MMS) from Keptwild (a brand of Washerbear, LLC) for customer service, order-related communications (such as order confirmations, shipping updates, and support), and other messages you request or consent to receive.

Consent / Opt-in. By providing your mobile number and opting in (for example, through checkout, an on-site form, or by initiating a text conversation with us), you consent to receive text messages from us. Consent is not a condition of purchase.

Opt-out. You can opt out at any time by replying STOP to any message. After you opt out, you may receive one additional message confirming your opt-out.

Message and data rates. Message and data rates may apply. Message frequency varies.

Carriers / delivery. Wireless carriers are not liable for delayed or undelivered messages. We do not guarantee message delivery, timing, or availability.

U.S. numbers only. Our messaging program is intended for U.S. phone numbers only.

SECTION 12 — FEEDBACK

If you submit ideas, suggestions, reviews, proposals, plans, or other content (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback in any medium for any purpose, including commercial use.

You represent and warrant that: (i) you own or have the necessary rights to the Feedback, (ii) you have disclosed any compensation or incentives received in connection with the Feedback, and (iii) your Feedback complies with these Terms.

We may, but are not obligated to, monitor, edit, or remove Feedback that we determine in our sole discretion is unlawful, offensive, threatening, defamatory, obscene, or otherwise objectionable, or that violates any party’s rights.

SECTION 13 — ERRORS, INACCURACIES, AND OMISSIONS

Occasionally, information on the Services may contain typographical errors, inaccuracies, or omissions related to product descriptions, pricing, promotions, offers, shipping charges, transit times, and availability. We reserve the right to correct errors and to change or update information or cancel orders if information is inaccurate, at any time without prior notice (including after you submit an order).

SECTION 14 — PROHIBITED USES

You may use the Services only for lawful purposes. You may not use the Services to:

  • violate any law or regulation;

  • infringe intellectual property rights;

  • harass, abuse, defame, threaten, or discriminate;

  • submit false or misleading information;

  • transmit advertising or promotional material (spam), chain letters, or junk mail;

  • impersonate another person or entity;

  • upload or transmit viruses or malicious code;

  • scrape, spider, crawl, or exploit the Services without authorization; or

  • interfere with security features or the proper working of the Services.

We may suspend, disable, or terminate your access if we determine you have violated any part of these Terms.

SECTION 15 — TERMINATION

We may terminate this agreement or your access to the Services (or any part thereof) at any time without notice. You remain liable for amounts due through the date of termination.

The following sections survive termination: Intellectual Property, Optional Tools, Third-Party Links, Relationship with Shopify, Privacy Policy, Text Messaging, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver/Entire Agreement, Assignment, Governing Law, and any provisions that by their nature should survive.

SECTION 16 — DISCLAIMER OF WARRANTIES

Information on the Services is provided for general information purposes only. We do not warrant the accuracy, completeness, or usefulness of this information, and any reliance is at your own risk.

EXCEPT AS EXPRESSLY STATED BY US, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME DISCLAIMERS MAY NOT APPLY TO YOU.

SECTION 17 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WASHERBEAR, LLC (D/B/A KEPTWILD), OR OUR DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, OR SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS, ARISING FROM YOUR USE OF THE SERVICES OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SECTION 18 — INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Washerbear, LLC (d/b/a Keptwild), Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, claims, and expenses (including reasonable attorneys’ fees) arising out of or related to: (1) your breach of these Terms or incorporated policies, (2) your violation of law or third-party rights, or (3) your access to or use of the Services.

SECTION 19 — SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforceable to the fullest extent permitted by law, and the remaining provisions will remain in full force and effect.

SECTION 20 — WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce any right does not constitute a waiver. These Terms and any policies posted on the site constitute the entire agreement between you and us regarding your use of the Services and supersede any prior agreements or communications.

SECTION 21 — ASSIGNMENT

You may not assign these Terms or any rights or obligations without our prior written consent. We may assign these Terms without restriction.

SECTION 22 — GOVERNING LAW

These Terms and any separate agreements whereby we provide Services shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law rules. You and we consent to personal jurisdiction and venue in the state and federal courts located in Alachua County, Florida, for disputes not subject to mandatory arbitration or other required dispute resolution under applicable law.

Headings are for convenience only and do not affect interpretation.

SECTION 24 — CHANGES TO TERMS

You can review the most current version of these Terms at any time on this page. We may update or replace any part of these Terms by posting updates on the website. It is your responsibility to check periodically for changes. If required by law, we will provide notice of material changes, and such changes will be effective as stated in the notice. Continued use of the Services after changes are posted constitutes acceptance.
